FEBS PLATFORMS – TERMS OF USE
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING FEBS PLATFORMS
1. INTRODUCTION
1.1 These Terms of Use (the “Terms”) set out the basis on which you may browse and use the following FEBS Platforms:

By accessing and using our Platforms, you agree to be bound by these Terms. The Privacy Policy is an essential part of these Terms and by accepting these Terms, you also acknowledge that you have read and understood our Privacy Policy.

1.3 In the Terms for the Platforms listed in 1.1, when we refer to “you” and “your” we mean you, the person using or visiting our Platforms.
1.4 Parts of our Platforms may have additional terms specific to the nature of those Platforms (for example, terms relating to FEBS events such as the FEBS Congress or Advanced Courses) (“Additional Terms”). You agree to be bound by the Additional Terms and to the extent that any Additional Terms conflict with these Terms, the Additional Terms shall prevail in respect of the Platforms to which they relate.
1.5 We reserve the right to make changes to these Terms from time to time. Any such changes to these Terms will be posted to our Platforms and if we consider it to be appropriate we may notify you of any material changes by e-mail. Your use of the Platforms will be subject to the most recent version of these Terms posted on the Platforms.
2. ABOUT US
2.1 We are the Federation of European Biochemical Societies (“FEBS”, “we”, “us” and “our”). We are a Registered Charity (Number 1149638) and a Company Limited by Guarantee (Number 08239097) registered in England and Wales, whose registered office is at 2d & 2e, St Andrew’s House, 59 St Andrew’s Street, Cambridge CB2 3BZ, UK. 3. ACCESS TO OUR PLATFORMS
3.1 Except in the case of certain Platforms or areas of Platforms used to present content for events that have a registration fee, the Platforms are currently made available to you free of charge, although we reserve the right to charge for access to any of, or part of, the Platforms in the future.
3.2 Access to the Platforms is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of the Platforms without notice to you.
3.3 Parts of our Platforms may be restricted to those who have registered for or been provided with an account. When registering for an account you must ensure your details are accurate and commit to keeping those details up to date. You must keep confidential and shall not share with any other person your username and password or any other security credentials. You must notify us immediately if you believe an unauthorised third party has knowledge of your security credentials or if your security credentials have been lost or stolen.
3.4 You are responsible for making all arrangements necessary for you to have access to the Platforms.
4. USE OF OUR PLATFORMS
4.1 All intellectual property rights in the Platforms (other than your Contribution) are owned, and will remain owned, by us, other contributors or our licensors at all times. Unless otherwise indicated (for example you may not download recorded content from, or another person’s Contribution to, certain events such as virtual Advanced Courses), you may download extracts of or link to any page(s) from the Platforms, provided that:
4.1.1 the material shall not be reproduced or included in any other work or publication in any medium;
4.1.2 the material may not be modified or altered in any way;
4.1.3 the material may not be distributed or sold to any third party; and
4.1.4 you do not remove any copyright or other proprietary notices contained in the material.
If you copy or use any part of the Platforms made available through it in breach of these Terms, your right to use the Platforms will cease immediately and you must destroy any copies of the materials you have made.
4.2 Parts of our Platforms may enable you to contribute your own content including by way of submitting or posting comments, questions, articles, abstracts, posters, images, audio and/or visual recordings and other data (your “Contribution(s)”). We have no obligation to publish or otherwise make available your Contribution on our Platforms and we reserve the right to modify or remove your Contribution from our Platforms at our sole discretion.
4.3 Unless it is expressly provided otherwise in any relevant Additional Terms, you retain ownership of any intellectual property rights you have in your Contribution. Except where your Contribution is for a restricted audience (e.g. a recorded presentation for a closed event and/or subject to Additional Terms between you and the event Organizer), you grant, and you represent and warrant that you have the right to grant, to us a non-exclusive, irrevocable, perpetual, transferable, sub-licensable, worldwide, royalty-free licence to publicly perform, copy, reproduce, display, make available, communicate to the public, modify, edit, manage, distribute, store and publish any and all of your Contribution in all forms or media (whether now known or invented) as part of our Platforms (including the marketing and promotion of us or our Platforms) or otherwise in accordance with these Terms. To the extent permitted by law, you waive any moral rights you may have in your Contribution. For the avoidance of doubt and in accordance with our Privacy Policy, we may continue to publish or otherwise make available your Contribution via our Platforms even if your access to the Platforms has ended save where we have specified on the Platform that you may remove such Contribution via your account. Organizers of certain events may also seek usage rights to your Contributions separately and may also seek authorisation from you to film or record presentations you may make at such events. You acknowledge that any such arrangements made are between you and the Organizer.
4.4 You must not:
4.4.1 misuse the Platforms by knowingly introducing viruses, trojans, worms, logic bombs or any other material which is malicious or technologically harmful;
4.4.2 attempt to gain unauthorised access to the Platforms, the server on which the Platforms are stored or any server, computer or database connected to the Platforms;
4.4.3 attempt to unlawfully reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the software of the Platforms;
4.4.4 misuse the Platforms in a way that causes damage to our reputation, or causes offence or detriment to other users of the Platforms;
4.4.5 breach any applicable laws, statutes, rules, regulations, guidelines, directives and codes in your use of the Platforms;
4.4.6 copy, download, distribute, transmit, make available, communicate to the public or otherwise use any part of the Platforms for any commercial purpose unless expressly authorised by us or use the Platforms to seek or offer any goods or services;
4.4.7 publish, post, upload, store, distribute or disseminate
(a) any Contribution that
(i) infringes the rights (including any intellectual property rights or rights of privacy) of any third party; or
(ii) is or could be reasonably deemed unlawful, fraudulent, defamatory, infringing, plagiarised, obscene, pornographic, harmful, confidential, libellous, hateful, racial or ethnically offensive, threatening or otherwise illegal or offensive or which, when published, posted, uploaded, stored, distributed or disseminated might constitute a criminal or civil offence; or
(iii) is false or misleading; or
(b) anything which solicits or harvests another user’s password or other account information;
4.4.8 misuse the Platforms in a way that causes us to breach any applicable law or regulation; and
4.4.9 not attack the Platforms via a denial-of-service attack or a distributed denial-of service attack.
4.5 We may report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Platforms will cease immediately.
4.6 You may link to any open page of the Platforms, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists, nor establish an embedded link to the Platforms in any website that is not owned by you or without our permission. We reserve the right to withdraw linking permission without notice.
5. THIRD-PARTY LINKS AND RESOURCES AND CONTENT ON OUR PLATFORM
5.1 You understand that our Platforms may contain links to other sites and resources provided by third parties not under our control. We have no control over the content of such sites or resources available on them and so cannot be responsible or liable for them or their content or resources on them in anyway.
5.2 Links to third-party sites do not necessarily imply that we are or that our site is affiliated or associated with such third-party sites. If you do decide to visit any other site, you do so at your own risk but should be aware that other third-party sites may have their own terms and conditions, which we suggest you read carefully before proceeding.
5.3 Third parties may place content on our Platforms (including by way of Contributions, comments, posts and articles). You acknowledge that we may not actively monitor Contributions and/or any of the other content that is made available on the Platforms and we are not responsible for any third-party content.
6. AVAILABILITY
We do not guarantee that the Platforms will always be available, uninterrupted, secure or free from bugs or viruses, nor that the Platforms will be free from errors or omissions.
7. REPORTING
7.1 You acknowledge that we do not actively update or monitor all of the Contributions and/or other third-party content that is made available on the Platforms.
7.2 If you believe that any part of the Platforms:
7.2.1 infringes your intellectual property rights or other proprietary rights;
7.2.2 is defamatory to you; and/or
7.2.3 is otherwise in breach of these Terms,

8. LIMITATION OF OUR LIABILITY
8.1 Nothing in these Terms excludes or limits our liability for anything that cannot be excluded or limited by law.
8.2 To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to the Platforms or any content made available on it, whether express or implied.
8.3 Subject to paragraph 8.1, you agree that we will not be liable for any loss or damage [whether direct or indirect or arising under contract, tort (including negligence)], breach of statutory duty, or otherwise) even if foreseeable, arising under or in connection with any:
8.3.1 use of, availability of or inability to use the Platforms; or
8.3.2 use of or reliance on any content displayed on the Platforms.
8.4 Without limiting the effect of paragraph 8.3, due to the inherent risks of using the Internet, we cannot be liable for any damage to, or viruses that may infect, your internet enabled device or any other property when you are using the Platforms. The uploading, posting, downloading or accessing of any content (including Contributions), material and/or other information made available by the Platforms is done at your own discretion and risk and with your agreement that you will be solely responsible for any damage to your device or loss of data that results from the downloading or acquisition of any such content, material and/or information.
8.5 You agree to indemnify us against any claims, liabilities, losses, damages, expenses, or legal proceedings arising out of:
8.5.1 your use of the Platforms;
8.5.2 your Contribution; or
8.5.3 your failure to comply with these Terms.
8.6 Because some jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such jurisdictions, our liability will be limited to the fullest extent permitted by law.
9. GENERAL
9.1 These Terms does not create or infer any rights that are enforceable by any person who is not a party to it.
9.2 We may transfer our rights and obligations under these Terms to another organisation, but this will not affect your rights or our obligations under these Terms. You may only transfer your rights or obligations under these Terms to another person if we agree in writing.
9.3 If we decide not to exercise or enforce any right that we have against you at a particular time, then this does not prevent us from later deciding to exercise or enforce that right.
9.4 Each of the terms of these Terms operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect.
9.5 These Terms and any non-contractual obligations arising out of them shall be governed by and construed in accordance with English law. To the extent that the law of the country in which you are resident permits you agree to submit to the exclusive jurisdiction of the English courts.
